This is a very common question from people starting out in eCommerce in Ireland, and the short answer is: not necessarily to open a Shopify account, but you will likely need to be legally compliant as a business entity once you start trading.
Opening a Shopify Account
Shopify itself does not require you to have a registered company to create a store. You can sign up with just an email address and start building your store right away. However, to accept payments — especially through Shopify Payments — you’ll need to provide business and banking details that meet payment processor requirements.
Sole Trader
A sole trader is the simplest structure. You trade under your own name or a business name, and you’re personally responsible for the business. You don’t need to register with the Companies Registration Office (CRO) unless trading under a name that isn’t your own full legal name, but you must:
- Register your business name with the CRO if trading under a name other than your legal name
- Register with Revenue for income tax purposes
- Charge and remit VAT if your turnover exceeds the threshold (€40,000 for services, €80,000 for goods)
Limited Company
A limited company (Ltd) provides personal liability protection and can appear more professional to customers and suppliers. You’ll need to register with the CRO and comply with company law requirements. This is a better option if you’re planning to scale significantly.
What You Legally Need Before Selling Online in Ireland
Regardless of structure, if you’re selling goods or services online in Ireland you must:
- Be registered with Revenue and have a PPS/tax number
- Display your business name and contact details on your website (required under EU consumer law)
- Have a GDPR-compliant privacy policy
- Clearly outline your returns policy (you must offer a 14-day right of return under EU law)
- Display VAT pricing correctly (inclusive of VAT for consumer-facing sites)
